Introduction These Vendor Terms and Conditions (“Terms”) govern your registration, access, and use of the Vendor services provided on whatsapp.lotsofcode.in, operated by LotsOfCode Private Limited. By registering as a vendor and clicking “I Accept”, you agree to be bound by these Terms. 2. Eligibility You must be at least 18 years old and legally authorized to conduct business. You must provide accurate, complete, and verifiable business and contact details at the time of registration. 3. Vendor Responsibilities As a registered vendor, you agree to: Provide correct and updated business information, including legal name, GST number (if applicable), and contact details. Use the platform only for lawful purposes and not engage in any fraudulent or prohibited activity. Ensure compliance with all applicable laws, including data protection, tax regulations, and industry-specific requirements. Maintain confidentiality of your login credentials and account access. Not resell, sublicense, or misuse the WhatsApp API or related services without authorization. 4. Service Usage Vendors are allowed to use the WhatsApp API platform only for legitimate business communication. Bulk spamming, sending unsolicited content, or violating WhatsApp/Meta’s policies will result in immediate suspension. Vendors are responsible for the content of messages, templates, and media shared via the platform. 5. Payments & Fees Vendors agree to pay all applicable subscription fees, charges, and taxes as per the pricing plan selected. Fees are non-refundable except where required by law or expressly stated by LotsOfCode Private Limited. Non-payment may result in account suspension or termination. 6. Data & Privacy Vendors are responsible for their customer data uploaded or processed via the platform. LotsOfCode Private Limited will not be liable for data misuse caused by the vendor’s negligence. Vendors must comply with the Privacy Policy available at https://whatsapp.lotsofcode.in/terms-and-policies/privacy . 7. Intellectual Property All software, designs, and documentation on the platform remain the property of LotsOfCode Private Limited. Vendors are granted a limited, non-exclusive, non-transferable license to use the services. Unauthorized copying, modification, or redistribution is strictly prohibited. 8. Termination LotsOfCode Private Limited may suspend or terminate a vendor account if: The vendor violates these Terms. The vendor engages in unlawful, fraudulent, or abusive activities. Payment obligations are not met. Upon termination, all rights to access the platform and services will cease immediately. 9. Limitation of Liability LotsOfCode Private Limited is not liable for indirect, incidental, or consequential damages arising from vendor usage. Our maximum liability is limited to the amount paid by the vendor in the last 3 months of service. 10. Indemnification Vendors agree to indemnify and hold harmless LotsOfCode Private Limited from any claims, damages, or legal actions arising from their usage of the platform. 11. Governing Law These Terms shall be governed by the laws of India. Any disputes will be subject to the jurisdiction of the courts in Rajasthan, India. 12. Updates to Terms We may update these Terms at any time. Continued use of the platform after updates constitutes acceptance of the revised Terms. 13.
